Due to the requirements of the contract with our project builder, Aegis Renewable Energy, Inc., unless we are able to complete the sale of at least 75% of AES4 to Series B investors by Thursday, April 20, 2023, Acorn Renewable Energy Co-op will be forced to cease marketing its community solar project in Hinesburg (AES4).
Acorn has been actively marketing shares in the project since early August 2022 and has received deposits for one-third of the available units. Acorn’s construction agreement with Aegis provides that if Acorn is not able to reach a financial closing within an acceptable period of time, Aegis would have the right to take over the project and construct it using a different funding model.
For its part, Aegis must complete project construction before the July 6, 2023 deadline imposed by the project’s Certificate of Public Good. Aegis has indicated that it intends to exercise that option on April 20 if Acorn is not able to commit at that time to a financial closing to provide funds to begin construction activities.
Acorn is announcing this deadline now so that the nearly 50 residents who have expressed interest in the project but have not yet reached a decision can decide whether or not to participate. Acorn also hopes that those who have already sent in a deposit and anyone who reads this will encourage friends and neighbors in the Vermont Electric Co-op coverage area to consider investing for their own homes.
Acorn will work its hardest to meet this deadline,
but we need your help!
If you have decided to invest in this project but haven’t sent in your deposit, please do so right away! If you know of someone who might be interested in investing, please let them know that the window for investing is closing.
If Acorn has not reached the 75% sales mark by April 20, we will cease our marketing activities and return all deposits to those who have already committed.
If you have decided to invest, you will need our Investor Package, which includes the Operating Agreement documents and the forms that need to be completed, signed, and returned back to me with your deposit check ASAP!
All deposit checks need to be made out to Dunkiel Saunders, our legal firm and sent back to Acorn Energy Co-op at the address below. I will be checking the mailbox on April 19th.
We need your check to be in that mailbox by that date in order to ascertain that we will move forward with the project.
